Education, further training, coaching, language courses and other courses/qualification offerings
Preliminary note
These Special Terms and Conditions (“Part B”) supplement the Master Terms of Asghar Consultants e.K. for education, further training, coaching, language course and other qualification services. They apply only to the extent that they have been validly incorporated into the respective contract. Individual course, programme or project agreements may contain supplementary or deviating provisions. Mandatory statutory provisions remain unaffected.
B.1 Scope
These Special Terms and Conditions apply in particular to German courses, vocational language preparation, further training, vocational qualification, coaching, pre-apprenticeship preparation, exam preparation and other educational or training offerings of AsgCon, regardless of whether they are delivered on site, online, in a hybrid format or via digital learning systems.
B.2 Registration and conclusion of contract
Registration may be made via the ASGCON Portal, by e-mail, in writing, via a registration form or via another procedure provided by AsgCon. A contract is concluded only through express acceptance, confirmation of participation, booking confirmation or commencement of the service, insofar as legally permissible. For funded programmes, the respective required approvals, vouchers, assignments or other prerequisites additionally apply.
B.3 Course start and place on the course
A place on a course is bindingly reserved only once the prerequisites provided for this have been met and the required documents are complete. An announced course start may depend on a sufficient number of participants, organisational prerequisites, availability of teaching staff or other objective prerequisites. Changes will be communicated appropriately to those affected.
B.4 Services
AsgCon provides the services described in the respective course, programme or contract offer. Scope, duration, form of instruction, content, dates, learning objectives and, where applicable, examination components are determined by the respective service description. Changes to the curriculum or to the organisational delivery are permissible insofar as they do not materially alter the agreed nature of the service and statutory or funding-law requirements are observed.
B.5 Admission requirements and cooperation
Participants must meet the admission requirements specified in each case and provide required documents in good time. These may include in particular proof of identity, proof of language level, proof of qualifications, funding documents or other documents required for the programme. Participants actively cooperate in the learning and support process and observe the organisational rules of the respective programme.
B.6 Participation, attendance and non-participation
Participants must comply with the agreed attendance and cooperation obligations. For funded programmes, special statutory or funding-law requirements regarding attendance, absences, excuses and evidence may apply. Non-participation does not automatically release a participant from a payment owed under the contract. For funded programmes, the respective applicable special participant and programme conditions apply.
B.7 Fees and payment
The course or participation fees are set out in the respective offer, contract or booking confirmation. Where value added tax is legally due, it is charged accordingly. Payment deadlines, instalment payments, down payments or other payment terms are specified individually. Statutory rights in the event of late payment remain unaffected.
B.8 Right of cancellation for consumers
Consumers are generally entitled to a statutory right of cancellation for distance contracts and contracts concluded away from business premises, provided the statutory requirements are met. Details are set out in AsgCon’s separate cancellation policy (Widerrufsbelehrung), including the information provided there on the start of the service and on the possible consequences of a cancellation.
B.9 Cancellation, withdrawal and termination
Cancellation, withdrawal and termination are governed by the statutory provisions, the respective contract and these Special Terms and Conditions. Special deadlines or conditions may be agreed for individual courses or programmes. For funded programmes, additional requirements of the funding body or of the programme approval may apply. Services already properly rendered remain to be taken into account in accordance with applicable law.
B.10 Postponement and cancellation by AsgCon
AsgCon may postpone, merge or cancel a course or programme for objectively justified reasons, in particular in the event of an insufficient number of participants, absence of teaching staff, technical or organisational reasons, or official requirements. Affected participants will be informed of material changes. Statutory rights of withdrawal, termination or reimbursement remain unaffected.
B.11 AVGS
Where a service is funded through an activation and placement voucher (AVGS) under Section 45 SGB III, the statutory requirements and the conditions set out in the voucher and in the respective programme apply. The AVGS must – where required by law or in the individual case – be available before the start of the programme and be valid for the specific service. Scope, objective, content, validity and regional or other limitations are determined by the respective voucher and the statutory requirements. Funding cannot be guaranteed.
B.12 Education voucher (Bildungsgutschein)
Where a service is funded through an education voucher (Bildungsgutschein) under Section 81 SGB III, the statutory requirements, the content of the voucher and the conditions of the approving body apply. Participation requires – where necessary – timely approval and submission of the required documents. AsgCon gives no guarantee that an education voucher (Bildungsgutschein) will be issued, extended or covered to a particular extent.
B.13 AZAV
Where AsgCon delivers approved programmes in accordance with the applicable AZAV and SGB III requirements, the approval, participant and funding conditions applicable to the respective programme additionally apply. The approval of a programme or AsgCon’s status as an approved training provider does not mean that funding will be granted for every person. Funding decisions are made by the competent bodies in each case.
B.14 Online, hybrid and digital services / FernUSG
Educational services may be delivered online, in a hybrid format or via digital learning systems. Participants are responsible for the necessary technical prerequisites on their side, unless expressly agreed otherwise. Where a specific service meets the requirements of the German Distance Learning Protection Act (FernUSG), the statutory requirements applicable to it will be observed. Not every online or digital educational service is automatically distance learning within the meaning of the FernUSG.
B.15 Examinations and certificates
Where examinations, certificates of attendance, certificates or other proofs form part of a service, their requirements are determined by the respective service description and – where applicable – by the requirements of the respective examination or certification provider. Participation in a course does not give rise to any entitlement to pass an examination or to be awarded an external certificate.
B.16 Learning and examination success
AsgCon supports participants, to the agreed extent, in achieving the described learning or qualification objectives. No particular learning outcome, examination success, language certificate, training place, university place or employment outcome is guaranteed, unless expressly and legally permissibly agreed otherwise. Personal learning success depends, among other things, on individual prerequisites, cooperation and participation.
B.17 Teaching materials and rights of use
Teaching and learning materials provided by AsgCon may be used only within the scope of the agreed use. Reproduction, making available to the public, passing on or commercial use is permissible only insofar as this is permitted by law or expressly authorised. Third-party rights remain unaffected.
B.18 Data protection
Personal data of participants is processed in accordance with applicable data protection law. Where transmission to funding bodies, authorities, examination bodies or other authorised bodies is required for funding or statutory procedures, this takes place only to the extent permissible. Details are set out in the privacy policy in force at the time and – where necessary – separate data protection information.
B.19 Relationship to the Master Terms
These Special Terms and Conditions supplement the Master Terms of Asghar Consultants e.K. The following order of precedence applies to the respective education, further training, coaching or course contract: 1. mandatory statutory law, 2. individually negotiated agreements, 3. individual contract, course or programme order, 4. expressly incorporated Special Terms and Conditions Part B, 5. Master Terms. Where the Master Terms contain no special provision for the specific assignment, they continue to apply in addition.
Special notes on funding
Funding through the activation and placement voucher (AVGS), the education voucher (Bildungsgutschein) or other funding bodies always depends on the respective statutory requirements, personal requirements, the specific service and the decision of the competent body. A general description of a funding route on the website does not give rise to any entitlement to approval or cost coverage.
Legal incorporation
Part B forms part of the modular AsgCon terms and conditions system and does not replace any separate cancellation policy (Widerrufsbelehrung), model cancellation form, privacy policy, programme-specific participant conditions or individual service description. For funded or specially regulated programmes, the respective mandatory statutory and funding-law requirements apply.
